Denitsa Kuzeva is a Senior Associate in the Sofia office. She focuses on banking and finance matters as well as on M&A and corporate.

She has also gained significant experience in advising on infrastructure & projects, including some of the largest transactions of the Sofia office such as landmark acquisitions in the TMT, banking and insurance sectors.

RECENT ENGAGEMENTS INCLUDE ADVISING

Banking, finance & capital markets

  • KBC BANK on acquisitions of financial institutions in Bulgaria: (i) the EUR 1,009 million acquisition of Raiffeisenbank Bulgaria from Raiffeisen Bank International (the largest transaction in the Bulgarian banking sector to date); (ii) the EUR 77.7 million acquisition of NN’s pension insurance and life insurance businesses in Bulgaria (one of the largest deals in the domestic insurance sector)
  • MERIDIAM, a French infrastructure fund, as sponsor and SOF CONNECT consortium as borrower on a EUR 296 million financing from an international syndicate of banks in relation to the concession of Sofia Airport valued at EUR 4.3 billion (the largest public-private partnership project in Bulgaria in recent years)
  • EUROPEAN BANK FOR RECONSTRUCTION AND DEVELOPMENT on several financing instruments for the improvement of water infrastructure in Bulgaria under a EUR 200 million financing framework established with EU structural funds, as well as on the EUR 20 million guarantee to Raiffeisenbank Bulgaria aimed at providing loans to water and sewage operators at favourable terms
  • A LEADING MULTINATIONAL BANK on a EUR 60 million loan to a large local hosting services provider for the purchase of a new corporate aircraft

M&A and Corporate

  • TSS EUROPE on its entry into the Bulgarian market through the acquisition of AS Systems, a Bulgarian software company with ERP solutions for medium and large manufacturing and trading companies and pharmacies, including full-service transaction support from due diligence through regulatory approval to closing assistance
  • UKG, an American multinational company for HR and workforce management solutions, on the acquisition of Immedis, a global payroll company offering cloud-based payroll platform headquartered in Ireland with significant operations in Bulgaria, and on the subsequent acquisition of assets of Next Solutions by Immedis
  • KIN+CARTA, a global digital transformation consultancy and a B Corp company, on its acquisition of Bulgarian award-winning software development company Melon Group, together with its subsidiaries in North Macedonia and Kosovo
