Nina Tsifudina is a Partner in the Sofia office and the head of the firm-wide Employment & Labour Law service line.

Nina focuses on M&A and corporate, employment and labour law, as well as on telecommunications, media and technology (TMT). Her focus further extends to the life sciences & healthcare and automotive & industrials sectors.

She advises clients on a wide range of transactions, in particular cross-border mergers and acquisitions and restructurings. She also represents private equity and venture capital firms on acquisitions, disposals and restructurings, as well as portfolio companies on all corporate matters.

Nina has assisted both local and international clients on all aspects of employment law, including benefits, employee share incentives, workforce restructurings and negotiations with trade unions. She is highly experienced in all employment aspects of multi-jurisdictional transactions and often takes lead in high profile TUPE transactions, share sales and outsourcing/offshoring arrangements of our clients.

M&A and Corporate

  • KBC BANK on several acquisitions of financial institutions in Bulgaria: (i) the EUR 1,015 million acquisition of Raiffeisenbank Bulgaria from Raiffeisen Bank International (the largest transaction in the Bulgarian banking sector to date); (ii) the EUR 77.7 million acquisition of NN’s pension insurance and life insurance businesses in Bulgaria (one of the largest deals in the domestic insurance sector); (iii) the EUR 610 million acquisition of United Bulgarian Bank (UBB) and Interlease leasing company in Bulgaria from the National Bank of Greece
  • TAWAL on the acquisition of the telecommunications tower assets of United Group B.V., consisting of more than 4,800 towers across Bulgaria, Croatia and Slovenia, for EUR 1.2 billion
  • THREDUP, one of the world’s largest online fashion resale platforms, on the acquisition of its European peer Remix Global for approximately USD 28.5 million, including on an elaborate transaction structuring, repayment of the target’s mezzanine financing, as well as employment, litigation and corporate governance matters
  • GTT COMMUNICATIONS on its USD 2.15 billion sale of its infrastructure business to I Squared Capital across Bulgaria, the Czech Republic, Hungary, Romania, Slovakia, Serbia, and Ukraine, as well as on the post-deal integration
  • YANOLJA CLOUD, a global provider of AI-based SaaS solutions for the hospitality and leisure industries, on their acquisition of Go Global Travel, a B2B travel technology company, across Bulgaria, Croatia, Romania, Hungary, Slovakia, the Czech Republic, and Turkey
  • NIELSEN CONSUMER, an Advent portfolio company and the global leader in audience insights, data and analytics, on the acquisition of the market research provider GfK SE from KKR & Co and other shareholders of GfK

Employment & Labour Law

  • HCL TECHNOLOGIES, an Indian IT services company, on their interactions with the company’s trade union as well as on a variety of ongoing labour law matters, including dismissals, transfers and transitions, update of policies, etc.
  • STADA ARZNEIMITTEL, a leading pharmaceuticals manufacturer, on the acquisition of consumer healthcare company Walmark from Mid Europa Partners, including on the post-closing restructuring & integration of employees across eight jurisdictions
  • FORSTA (previsouly FocusFision) on labour law matters related to a contemplated carve-out, management changes, employee incentives, as well as dismissals
  • DIAGEO on implementing redundancies in Bulgaria and Croatia
  • ADECCO GROUP on the spin-off of its IT business (Modis) into two separate companies, including advice on TUPE-like transfer of more than 1,200 employees in CEE and SEE
