Anna Kornilova is a Senior Associate in the Almaty office and the head of Competition for Central Asia. She has over 15 years of experience advising clients on various matters of Kazakh law, with a focus on antimonopoly, corporate, licensing, subsoil and environmental legislation.

  • A MAJOR CHINESE INVESTOR on the acquisition of control over a subsoil user company that owns a large oil field in the West Kazakhstan region, including transaction structuring, legal due diligence of subsoil use-related issues, legal support for the transaction, drafting of transaction documents, and obtaining the consents and permits required for the successful acquisition of the company
  • A MAJOR RUSSIAN DISTRIBUTION COMPANY on the acquisition of local companies, including project structuring, legal support in setting up new companies and assistance in obtaining the relevant licenses, consents and permits, including antimonopoly approval
  • CHINA ZHENHUA OIL on the USD 430 million acquisition of Kuat Holding Company JSC, which controls a Kazakh oil company. Work involved structuring the acquisition, legal due diligence of Kuat Holding Company and its subsidiaries covering corporate and property matters, and a review of business contracts
  • AN INDONESIAN NATIONAL OIL COMPANY on various local law matters relating to the acquisition of Kazakh subsoil user companies, including due diligence of subsoil use and financial matters and preparation of legal opinions on different aspects of local subsoil use legislation
  • KAZAKHSTAN KAGAZY JSC on its acquisition of Taraz Metallurgical Plant (a major producer of ferromanganese silicon), Arman-100 LLP and Saryarka Mining LLP (subsoil user companies), including due diligence of the target companies regarding property matters and a review of business contracts

  • SCHNEIDER ELECTRIC, a large German consumer electronics company, on various aspects of Kazakh legislation, including corporate structuring and antimonopoly issues in relation to its acquisition of 50% of the shares in the Electroshield – TM Samara Group of Companies CJSC
  • ATOMREDMETZOLOTO OJSC, a Russian uranium company, on subsoil use, antimonopoly, currency control and other local law matters, including participation in the drafting of the purchase agreement and other transaction documents in connection with the acquisition of Akbastau JSC and Karatau LLP, Kazakh companies active in the atomic industry
  • COCA COLA BOTTLERS JV LLP on litigation against the Antimonopoly Inspection office over unfair competition charges. Work included analysis of the relevant legislation and case documents to provide an opinion on the situation and further steps 
  • GAZPROM NEFT OJSC on an antimonopoly project involving the indirect acquisition of a Kazakh bitumen producer, including overseeing communication with the client, documents and preparation of the application to the antimonopoly office
  • A MAJOR RUSSIAN RAILWAY COMPANY on antimonopoly matters in connection with a EUR 800 million transaction involving the acquisition of a 75% interest in a major European railway company
