Associate, Corporate/M&A – Ukraine
We are seeking a talented and motivated Associate to join the Corporate and M&A service line in our Kyiv office. The successful candidate will work closely with senior team members and clients on complex domestic and cross-border corporate transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and private equity deals.
This role is ideal for a lawyer with strong analytical skills, a keen interest in transactional work, and experience or interest in contract management, legal due diligence, and corporate governance matters.
Key responsibilities:
- Draft, review, and manage a wide range of commercial and corporate contracts, including share purchase agreements, shareholder agreements, service contracts, etc.;
- Conduct legal research on corporate, commercial, M&A, and regulatory matters (including competition, sanctions, and foreign ownership issues).;
- Assist in preparation and review of legal opinions, memoranda, and risk assessments;
- Support full-cycle M&A transactions, including:
- Due diligence of target companies (corporate, regulatory, contractual review);
- Preparation of transaction documentation;
- Post-closing corporate actions and integration support;
- Advise on day-to-day corporate matters (corporate governance, statutory reporting, regulatory compliance);
- Prepare presentations, project summaries, and client deliverables under senior supervision;
- Liaise with counterparties, clients, and local authorities as required;
- Collaborate closely with cross-practice teams (banking, tax, antitrust, dispute resolution) for complex mandates.
The ideal candidate will have:
- Ukrainian law degree (Master’s degree in Law);
- 2+ years of relevant legal experience in corporate/M&A, preferably at an international or top-tier local law firm;
- Strong knowledge of Ukrainian corporate, commercial, and contract law;
- Experience with legal research and legal drafting in English and Ukrainian;
- Excellent command of English, both written and spoken;
- Strong attention to detail and the ability to manage multiple deadlines;
- Proactive, collaborative attitude, and eagerness to develop a specialization in M&A and transactional advisory.
