Mihai Stan is a Managing Associate in the Bucharest office. He focuses on M&A and corporate governance matters.

Mihai’s previous experience includes assistance on mergers, acquisitions, sales of operations and exits from the local market, as well as corporate governance matters, compliance and company formation issues across a range of sectors including automotive, financial institutions, industrials, manufacturing and pharmaceuticals.

Mihai has also gained extensive knowledge in the area of compliance, fraud and white-collar crime, having previously assisted on internal investigations. His experience extends to data privacy and cyber-security, including advice on audits, day-to-day specific advice, review and revision of personal data processing programs and implementation of related programs in compliance with the GDPR framework, as well as intellectual property matters.

• VICTORIA’S SECRET on the acquisition of Adore Me, Inc., a digitally-native intimates brand. The deal aimed at creating significant upside for VS&Co, including the opportunity to leverage Adore Me’s expertise and technology to continue to improve the Victoria’s Secret and PINK customer shopping experience and accelerate the modernization of VS&Co’s digital platform
• ONE OF THE WORLD’S LARGEST GLOBAL AUTOMOTIVE SUPPLIERS on a large internal reorganization project covering Europe and several Kinstellar jurisdictions, with our local office being coordinating counsel for all jurisdictions involved
• LARGE RETAIL FOOTWEAR COMPANY IN CEE WITH PRESENCE IN MORE THAN 50 COUNTRIES on a day-to-day basis in Romania and all corporate matters, as well as on handling the corporate structure of the web of local subsidiaries (our local office was coordinating counsel for all jurisdictions involved)
• LEADING LOCAL PROVIDER OF CEMENT, AGGREGATES AND CONCRETE on two mergers within the group; the process consisted of an internal restructuring and a merger via absorption, with our team advising on the complete merger documentation, as well as on the transition of assets and employees from the absorbed entities
• ROMANIA'S LEADING STEEL PIPE MANUFACTURER on various corporate matters, including on its de-listing from the Bucharest Stock Exchange and a merger by absorption with one of its subsidiaries*

TECHNOLOGY, MEDIA AND TELECOMMUNICATIONS

• AN ENGINEERING COMPANY FOCUSING ON ELECTRONICS AND SOFTWARE on the acquisition of 100% of the shares of a local company focusing on the development of software solutions for the automotive industry
• RENOWNED INVESTMENT COMPANY on the acquisition of one of the key business lines of a digital transformation company (the target had 111,000 employees and an annual revenue of  EUR 11 billion, with its activity spanning across 50 jurisdictions); our advice on the matter included all IP and IT-related matters
• A CONFIDENTIAL SECURITY SOLUTIONS PROVIDER on implementing an IP restructuring at the group level and particularly focusing on the Romanian subsidiary
