Kinstellar, together with RPC, advises Ingersoll Rand on the acquisition of Oxywise

October 2023 – Kinstellar has recently advised Ingersoll Rand, a global provider of mission-critical flow creation and industrial solutions, on the acquisition of a 100% share in Oxywise, a Slovak engineering company focused on turnkey supplies, service and maintenance of PSA oxygen and nitrogen generators.

Ingersoll Rand is an American multinational company that provides flow creation and industrial products. The global market leader, with a broad range of innovative and mission-critical air, fluid, energy and medical technologies, provides services and solutions to increase industrial productivity and efficiency. Since merging with Gardner Denver in early 2020, it has more than 300 years of combined experience and innovative expertise, and its products are sold under more than 40 brands across all major global markets.

Oxywise designs and manufactures oxygen and nitrogen systems based on alternating pressure adsorption technology, filling ramps, container systems and gas dosing and distribution solutions. It has supplied units to 70 countries in a variety of applications, environments and industries including healthcare, veterinary medicine, water treatment, electronics, food packaging, pharmaceuticals, petrochemicals, and the glass industry.

Kinstellar assisted Ingersoll Rand throughout the entire transaction process, including due diligence, the SPA negotiation process, transaction documentation, signing, closing, as well as post-closing activities.

Financial terms of the deal were not disclosed.

Kinstellar’s core team in Bratislava was led by Roman Oleksik (Partner) and included Michal Hrušovský (Senior Associate) and Martin Dančo (Junior Associate). The due diligence team also included Lukáš A. Mrázik (Managing Associate), Matúš Kočíšek (Associate) and Barbora Bláhová (Junior Associate).
