Kinstellar advises Siemens Mobility on the acquisition of the Slovak company HMH

November 2023 – Kinstellar has successfully advised Siemens Mobility on the acquisition of the Slovak company HMH, a leading regional producer and innovator of railway security solutions.

Siemens Mobility, part of the Siemens multinational conglomerate, has been a leader in transport solutions for more than 160 years. It offers a comprehensive portfolio through its five business units: Rail Infrastructure, Turnkey, Rolling Stock, Customer Services and Intelligent Traffic Systems.

HMH is a Slovak-based technology company and producer of the MIREL national train protection system for Slovakia, the Czech Republic, Hungary, and Poland. Designed as a harmonised system with an interface according to European rail standards, MIREL VZ1 is capable of being integrated with ETCS, the future rail protection system for all European Union member states.

With this acquisition, Siemens Mobility strengthens its position as a leading rail infrastructure provider in Europe and is now able to offer a complete train protection portfolio covering Eastern European rail corridors. HMH will remain based in Bratislava, Slovakia, and will be integrated into Siemens Mobility’s Rail Infrastructure business unit.

Kinstellar assisted Siemens Mobility throughout the entire transaction process, including due diligence of the target, the SPA negotiation process, transaction documentation, signing and closing.

The seller, HMH, was represented by Havel & Partners. Financial terms of the deal were not disclosed.

Kinstellar’s team in Bratislava was led by Viliam Myšička (Partner) and Adam Hodoň (Partner) and included Lívia Miklenčičová (Associate) and Laura Bugajová (Junior Associate). The due diligence team also included Lukáš A. Mrázik (Managing Associate), Michal Hrušovský (Senior Associate), Matúš Kočíšek (Associate) and Martin Dančo (Junior Associate).
